City Service SE (the “Company”) announces that it has entered into an agreement to acquire 100% of the shares in UAB Axioma Servisas, a company registered in the Republic of Lithuania under registration number 304602530 (“Axioma”) (the “Acquisition”).
Axioma is a leading Baltic provider of engineering services for blue-chip clients, offering mission-critical services with strong margins and a repeating service base. The Acquisition is expected to add higher-value technical engineering capabilities to the Company’s group, strengthen the Company’s overall service offering, increase its addressable market and enable cross-selling between the Company’s and Axioma’s client bases.
The Acquisition is intended to be financed primarily through proceeds from a contemplated issuance of senior secured callable bonds, as separately announced by the Company on the date hereof.
Completion of the Acquisition is subject to the satisfaction of customary conditions precedent and is expected to take place during Q3 2026.
The Company will provide further information on the Acquisition, including financial impact and integration plans, in due course.
